What Kingsgate does

Kingsgate forms US companies for non-residents and helps keep those companies in good standing — tracking deadlines, preparing and filing routine annual paperwork, and explaining letters you receive from the government. The specific services included in your purchase are described on the pricing page at the time you buy.

Not legal or tax advice

Kingsgate is not a law firm and not a CPA firm. Nothing on this site, in our chat, or in any communication from us is legal or tax advice, and using our services does not create an attorney-client or CPA-client relationship. For advice about your specific legal or tax situation, consult a licensed attorney or CPA.

Payment and refunds

Prices are stated on the pricing page and charged through Stripe at checkout.

All service fees are due in full before work begins. Because we start preparing your filings as soon as payment is received, fees are non-refundable once work has started. If you cancel before we have begun any work on your account, you are entitled to a full refund. If Kingsgate is unable to complete a service you have paid for, you will receive a full refund for the unfinished portion.

Limitation of liability

To the fullest extent permitted by law, Kingsgate’s total liability to you for any claim relating to our services is limited to the amount you paid us in the twelve months before the claim arose. We are not liable for indirect, incidental, or consequential damages, including penalties, interest, or lost profits, except where the law does not allow that limitation.

Governing law

These terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules, because Wyoming is where Kingsgate was formed.

Termination

You may stop using our services at any time. We may stop providing services to you if you do not pay for them, if you ask us to do something illegal or dishonest, or if we reasonably believe continuing would expose us or you to legal risk. Ending the relationship does not cancel obligations your company already owes to the government.

Entire agreement

These terms, together with the pricing page and any signed engagement letter, are the entire agreement between you and Kingsgate about the services described here, and replace any earlier discussion or proposal on the same subject.
